About Us

Pancontinental Gold Corporation (Pancon Gold) was formerly Pancontinental Uranium Corporation, which was established in 2006 with a focus on exploring for and mining uranium and rare earth elements in Australia. In 2016, the Company shifted its focus to exploring for gold, starting with the Jefferson Gold Project in the United States. Pancon Gold, a Canadian company, incorporated Palmetto Mining Corporation in South Carolina to manage day-to-day exploration and project development activities.

Pancon Gold’s Board believes we are in the early stages of a significant bull market for gold, and the Jefferson Gold Project provides the Company with an excellent initial opportunity to capitalize on this market trend. Governance & Management

Pancon Gold’s Directors and Management, combined, possess more than 175 years of global experience and commercial success in minerals exploration and mining, including discovering and developing significant gold deposits. Pancon Gold’s world-class team members have held executive and senior roles on projects and operations in the United States, Canada, Australia, Argentina, Burkina Faso, Suriname, Russia, Ecuador, Mongolia, Brazil, Kyrgyz Republic, Honduras, Serbia, Indonesia, Nicaragua, China, Chile and Guinea. Pancon Gold’s team members have worked with and for Alcoa, Rio Tinto, Kinross Gold, Ivanhoe Mines, High River Gold, Centerra Gold, Intrepid Mines, Dundee Capital Markets, Toachi Mining and Duke Energy.

Board of Directors & Advisor

Donald Whalen, Chairman of the Board, Independent Director

Mr. Whalen has been a self-employed business consultant since 2009. From 1992-2008, Don served as Executive Chairman and Director of TSX-listed High River Gold Mines. Together with fellow Pancon Gold Director David Mosher, Don succeeded in growing High River Gold from a small exploration company into a multi-mine, international gold producer with mines in Canada, West Africa and Russia. During this period, High River Gold’s market capitalization increased from C$7 million to more than C$1 billion.

Don has been active in promoting Canada-Russia business investment and trade relations. From 1998-2008 he was Chairman of the Canada Eurasia Russia Business Association (CERBA), and from 2005-2007 he represented Canada as Co-Chair of the Canada Russia Business Council.

Don has served on the Boards of numerous companies, and is currently a Director of three companies, including Pancon Gold and BacTech Environmental Corporation. Prior to joining High River Gold, he held numerous marketing, technical and management positions over a 29-year career with IBM Canada. Don holds a Bachelor of Commerce degree from the University of Toronto.

Layton Croft, President, CEO and Director of Pancon Gold; President and CEO of Palmetto Mining

Mr. Croft is a seasoned business executive with more than 25 years of leadership experience and expertise in corporate strategy, business development, project management, stakeholder engagement, and environmental and community sustainability. He has spent more than 15 years in senior roles in the minerals exploration, mining and energy sectors, including six years as Executive Vice President for Ivanhoe Mines’ and Rio Tinto’s massive Oyu Tolgoi copper-gold project. Originally from and currently based in Charlotte, North Carolina, Layton has contributed to business results on significant gold, copper, iron ore and coal projects and operations in Asia, North America and Africa.

Layton is a Director of the public Canadian junior Erdene Resource Development (TSX:ERD), which has discovered and is developing a high-grade gold district in southwestern Mongolia. He is also a Director of Asia Pacific Investment Partners, a private emerging market real estate company. Layton holds a BA from the University of North Carolina at Chapel Hill, an MA from the School for International Training, an MA from the Fletcher School of Law and Diplomacy at Tufts University.

Rick Mark, Independent Director

Mr. Mark has more than 25 years experience in the public markets and has held leadership positions with various organizations over the last 40 years. During his tenure with public companies he has been responsible for: securing financings; developing short and long-term corporate goals; building cost-effective property development plans; creating effective communication platforms; and overseeing regulatory functions.

Rick is currently President and CEO, Chair and Director of Harvest Gold (TSX-V:HVG). He was formerly President and CEO of VMS Ventures, which discovered the high-grade Reed copper deposit in Manitoba, now in production through a joint venture with Hudbay Mining. He was also Chairman of North American Nickel, which has made a number of nickel discoveries in Greenland. Rick has led efforts to raise more than C$85 million in the last 12 years.

David Mosher, Independent Director, Technical Advisory Committee Member

Mr. Mosher is a geologist and mining executive with more than 35 years experience in the United States, Canada, Australia, Russia, Africa and Asia. Over the past decade he has been active in the restructuring, financing and management of a number of mineral projects and mining companies, both private and public. David has served on many boards including Cambior and Equinox Minerals, and is currently a director of five public mineral exploration companies, including Pancon Gold.

From 1992 through 2008, David served as President and CEO of TSX-listed High River Gold Mines, where he raised more than US$300 million and developed three mines from exploration through to production in Canada, West Africa and Russia. He assisted with the expansion of two underground mines in Russia, and he outlined a 5 million ounce gold deposit in Burkina Faso, which subsequently became an operating mine. Under David’s leadership, High River Gold’s market capitalization increased from C$7 million to more than C$1 billion.

Earlier in his career, David was project manager for Pancontinental Mining, when he and his team discovered and outlined the largest uranium deposit in the world at that time, the Jabiluka deposit in northern Australia. Originally from Nova Scotia, David earned his BSc Degree in Geology from Acadia University.

David Petroff, Independent Director

Mr. Petroff brings substantial executive management experience with mining companies to the Pancon Gold Board. He served as President, CEO and Director of Jaguar Mining from 2012-2014. He was President, CEO and Director of Breakwater Resources from 2009-2011. From 2004-2008, David was Executive Vice President and Chief Financial Officer of Centerra Gold, a spin-off from Cameco. David was Chief Financial Officer and Senior Vice President, Finance and Administration for Cameco from 1997-2004.

David’s experience demonstrates his ability to step into challenging situations and provide leadership for creating and implementing strategies that lead to higher profitability, engaged employees, and overall improved business results.

David is currently a Director of Foran Mining Corporation and Pancon Gold. He holds a Bachelor of Mathematics Degree from the University of Waterloo, and a Master of Business Administration from the Schulich School of Business, York University.

Dr. Laurence Curtis, Advisor, Chair of the Technical Advisory Committee

Dr. Curtis is a well-known and respected economic geologist and geochemist who, with more than 40 years of global exploration, mining and capital markets experience, brings a proven record of exploration, mine development and project financing to Pancon Gold. As President and CEO of Intrepid Minerals, Laurie was responsible for taking the Casposo gold-silver project in Argentina to full feasibility, after which the mine was built, sold and is still operating today. He was instrumental in developing that company’s Tujuh Bukit copper-gold project in Indonesia, containing more than 25 million ounces of gold and 10 billion pounds of copper. Laurie oversaw Intrepid Minerals transition, through merger and acquisition, to become a mid-tier gold producer and ultimately attain a market capitalization exceeding US$1 billion.

In recent years, Laurie has been active in the financial sector, as a senior mining research analyst for Clarus Securities and Dundee Capital Markets. He is currently a Director of Toachi Mining and Excellon Resources as well as Director and Chairman of Eastmain Resources. Originally from Australia, Laurie earned his PhD in Exploration Geology from the University of Toronto. In 2007, Mr. Curtis received the Arbor Award from the University of Toronto for volunteer work and for creating the Explorer Fund, which raises awareness and funding for undergraduate students in the field of Earth Sciences.

Mark McMurdie, Chief Financial Officer

Mr. McMurdie is a Chartered Professional Accountant (CPA:CMA) with more than 30 years of senior leadership experience in public and private companies. Mark is also Chief Financial Officer for Roscan Minerals (TSX-V:ROS), as well as Director of Finance for franchisor H&S Massage Spa Canada.

Mark possesses deep professional experience in the mining, franchising, oil and gas, merchant banking, distribution and real estate sectors. His expertise includes the development and leadership of corporate finance and accounting functions, strategic planning, and restructuring, as well as liaising with shareholders, Boards of Directors, securities regulators, and financial institutions.

Dr. Dennis LaPoint, Vice President - Exploration

Dr. LaPoint is an experienced exploration geologist and project developer with more than 40 years experience in project generation, exploration, management and mining, including 35 years working in the southeastern United States. He has successfully explored for, discovered and developed significant gold deposits in North and South Carolina, including leading the exploration program at the Jefferson Gold Project when it was under previous ownership. Dennis assembled the Jefferson Gold Project’s original property, managed the successful four-hole 2011 drilling program, and was the Qualified Person when the assay results were released.

Dennis has consulted for various private and public companies and investors, including Alcoa, Cambior, Texasgulf and Cominco. He initiated, managed and discovered the 5 million ounce Merian Gold Mine for Alcoa in Suriname, South America, which was recently put into production by Newmont Mining Corporation after capital expenditures of US$900 million. Dennis is a Director of multiple public and private companies, and founder and owner of Appalachian Resources. He is a Qualified Person for the preparation of National Instrument (NI) 43-101 technical reports, and has written and published numerous reports. Dr. LaPoint holds a PhD in Geology from the University of Colorado, a MSc from the University of Montana and a BA from the University of Iowa.
